By creating an account or using Helmy ("we", "us"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service. Helmy is a vessel handover and checklist management tool for yacht owners, managers, captains, and crew.
You must sign in with a valid Google account to use Helmy. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You must be authorized to act on behalf of any vessel you add to the platform. Vessel owners may invite other users (captains, managers, crew) to access a vessel; owners are responsible for who they invite and what access level is granted.
Helmy is free to use for one vessel. The free plan has usage limits on certain features (for example manual imports, open charters, team size, log-book entries, and photo uploads), shown in the app where they apply. Helmy Pro removes these limits for a small monthly fee, billed and processed via Stripe. Prices and billing intervals are shown at checkout and may change with notice. Subscriptions renew automatically until cancelled. You can manage or cancel your subscription at any time through the billing portal available in the app. If you cancel Pro, your existing data is kept, but new activity above the free plan's limits may be blocked until you are back within them. No refunds are provided for partial billing periods except where required by law.
A supplier, builder or equipment maker ("seller") can be listed in the Helmy directory. Two levels are offered. Free: a directory listing, with no charge and no renewal. Pro: the listing plus a product catalogue and orders placed in the app, at EUR 49.99 per year (or free for a period, where Helmy offers that; a free period does not renew by itself). Helmy charges the seller an order fee of 4% of the order total on every order the seller confirms through Helmy, unless a different rate has been agreed with the seller in writing. The fee is charged to the seller, never to the boat, and is shown in the seller's portal as orders are confirmed. Fees are added up over each calendar month and invoiced to the seller in the first days of the following month, payable within 14 days by card or bank transfer through the payment page on the invoice. An order that is cancelled before it is confirmed carries no fee. The order itself - price, delivery, payment and any returns - is between the boat and the seller; Helmy is not a party to it. Helmy may suspend a seller's listing or ordering while an invoice is overdue.
You retain ownership of the content you upload to Helmy, including checklist entries, notes, and photos ("Your Content"). By uploading Your Content, you grant Helmy a license to store, process, and display it back to you and to other users you've granted access to the relevant vessel, solely for the purpose of operating the service. You are responsible for ensuring you have the right to upload any content you submit, and for the accuracy of handover records you create.
If you connect Google Drive, Helmy may create folders and upload files (such as handover PDFs and checklist photos) to your own Drive on your behalf, solely to give you a backup copy of your vessel's records. Helmy's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. You can revoke this access at any time via your Google Account permissions.
You agree not to: use Helmy for any unlawful purpose; attempt to gain unauthorized access to another user's vessel, account, or data; upload malicious code; or interfere with the normal operation of the service. We reserve the right to suspend or terminate accounts that violate these terms.
Helmy is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (including our hosting, email, and payment providers), or unforeseen issues may cause temporary unavailability.
Helmy is a record-keeping and checklist tool. It does not replace professional judgment, seamanship, or a vessel's own safety and maintenance procedures. To the maximum extent permitted by law, Helmy and its operators are not liable for any indirect, incidental, or consequential damages arising from use of the service, including reliance on handover records for vessel condition or safety decisions.
You may stop using Helmy and cancel your subscription at any time. We may suspend or terminate accounts that violate these terms, engage in abuse, or where required by law. Upon termination, your right to access the service ends; certain data may be retained as described in our Privacy Policy.
We may update these Terms from time to time. Material changes will be reflected by updating the "last updated" date below. Continued use of Helmy after changes take effect constitutes acceptance of the revised Terms.
